Terms of Service
1. General Provisions and Acceptance of Terms
1.1 These Terms of Service constitute a legally binding agreement between you and the operator of the Platform, and apply to your access to, registration for, login to, and use of all features of the Platform (including the web application and related supporting services).
1.2 If you use the Platform on behalf of a company, organization, or team, you represent and warrant that you are duly authorized to do so and to bind that entity to these Terms.
1.3 When you use the Platform to connect to third-party social media platforms (each a "Connected Platform", currently including but not limited to Facebook, Instagram, and X (formerly Twitter)), you must also comply with each such platform's own developer agreements, platform policies, community standards, and commercial terms of use (including, without limitation, the Meta Platform Terms, the X Developer Agreement, and the respective Community Standards).
2. Description of the Service
2.1 The Platform is an integrated application designed for overseas social media operations. Through official platform authorizations, it hosts and manages your social media accounts on your behalf, and primarily provides the following capabilities (subject to the features actually enabled for you):
- Account Center: Connect, host, and manage social media accounts on supported Connected Platforms (such as Facebook Pages, Instagram professional accounts, and X profiles); view basic account information, authorization status, and post lists; assign accounts to team members;
- Creation Center: Write, translate, and AI-polish content, upload media, select publishing accounts, publish immediately or on a schedule, and preview posts before publishing;
- Dashboard: Operational overviews including pending-post statistics, posting and engagement trends, follower trends, and a publishing calendar;
- Analytics: Aggregated metrics such as reach, engagement, and follower growth, with chart-based analysis and insights into top-performing content;
- System Settings and Personal Center: Team member management, profile and security settings, and more.
2.2 The Platform interacts with Connected Platforms through their official APIs / authorization mechanisms for lawful and compliant content publishing, engagement management, and performance monitoring. It does not provide unauthorized scraping that bypasses official interfaces or non-compliant automation capabilities.
2.3 We may adjust, upgrade, or discontinue certain features based on business needs, and will notify you through reasonable means (such as in-app notices, announcements, or email).
3. Account and Team Management
3.1 You should register and use the Platform with truthful and accurate information, keep your login credentials safe, and are responsible for all activities performed under your account.
3.2 Team administrators (such as the team owner) may create, edit, enable/disable member accounts, and assign connected accounts and permissions. Administrators should ensure that access is granted only to personnel with a legitimate business need.
3.3 If you discover that your account has been used without authorization, please notify us immediately and take measures such as resetting your password. Losses caused by your own failure to safeguard your credentials are your responsibility.
4. Third-Party Platform Integration
4.1 When you choose to authorize the Platform to connect to an account on a Connected Platform (for example, a Facebook Page, an Instagram professional account, or an X profile), you understand and agree that:
- The Platform will, based on the permissions you grant, use that platform's official APIs to obtain the necessary account information, published content, comments and engagement, and feature-related insights data;
- The scope of authorization is limited to the permissions displayed on and confirmed by you in that platform's authorization interface; you may revoke the authorization at any time via that platform's account settings (for example, Facebook "Settings → Apps and Websites", X "Settings → Security and account access → Apps") or within the Platform;
- After revoking authorization, the Platform will no longer be able to publish content to the corresponding account on your behalf or retrieve data that requires authorization, but this does not affect content you have already published publicly on the third-party platform.
4.2 You warrant that you have lawful administrative rights over the social media accounts you connect to the Platform (or have obtained explicit authorization from the account owner to host and operate the account), and that such authorization does not violate third-party platform rules or applicable law.
4.3 Any content you publish or manage on a Connected Platform through the Platform is deemed to be published by you (or the entity you represent). You must ensure that such content complies with the relevant platform's community standards, advertising and commerce policies (where applicable), and local laws and regulations.
4.4 The availability of Connected Platforms, API changes, review outcomes, rate limits, account restrictions, and policy adjustments are beyond the Platform's control. If these result in limited functionality or delayed data, the Platform will make reasonable efforts to assist in investigation but shall not bear liability beyond what is required by law.
4.5 The Platform undertakes to use data obtained from Connected Platforms in accordance with each platform's developer terms and related policies (for example, the Meta Platform Terms): solely to provide the product features that have been disclosed to you. We will not use such data for undisclosed purposes, will not sell it, and will not use it for ad targeting or for training AI/ML models (except as otherwise required by laws, regulations, or the relevant platform's policies).
5. User Content and Publishing Rules
5.1 "User Content" includes any text, images, videos, hashtags, comment replies, and other materials that you upload, write, generate, store, or publish through the Platform.
5.2 You retain your rights in User Content, but you grant the Platform a worldwide, non-exclusive, revocable license to use it to the extent necessary to provide the service (for example, storage, transmission, format conversion, cross-platform distribution, and preview display).
5.3 You may not use the Platform to create or disseminate content that is illegal, infringing, false, fraudulent, hateful, harassing, obscene, violent, or that violates others' privacy; nor may you publish misleading information or content that violates export control, cybersecurity, or data protection laws.
5.4 AI-assisted generated or translated content is for reference only. You are responsible for manually reviewing the accuracy, legality, and suitability of the final published content, and for bearing the associated responsibility.
6. Intellectual Property
6.1 The intellectual property rights in the Platform's software, interfaces, documentation, trademarks, logos, layouts, and source code belong to the Platform's operator or its licensors.
6.2 Unless otherwise provided by law, you may not, without written permission, copy, modify, reverse engineer, rent, sell, or otherwise exploit the Platform or any of its components.
6.3 Third-party names and marks such as Facebook, Meta, Instagram, and X belong to their respective owners. Their mention on the Platform is solely to describe interoperability capabilities and does not imply any undisclosed affiliation with or endorsement by them.
7. Prohibited Conduct
You agree not to engage in any of the following:
- Connecting or hosting accounts on the Platform without valid authorization from the account owner;
- Accessing, scanning, or interfering with the Platform or related systems and networks without authorization;
- Abusing APIs, circumventing rate limits, forging identities, or conducting prohibited automated bulk operations;
- Using data obtained through Connected Platform APIs for surveillance, discrimination, or any purpose prohibited by the relevant platform's policies;
- Reselling or sublicensing the Platform's services, or disclosing access credentials and tokens to unauthorized third parties;
- Interfering with other users or impairing the normal operation of the Platform or Connected Platforms.
8. Service Changes, Suspension, and Termination
8.1 We may suspend the Service due to system maintenance, security incidents, force majeure, or third-party dependency outages, and will provide advance or subsequent notice to the extent feasible.
8.2 If you materially breach these Terms, the Privacy Policy, or third-party platform rules, we may restrict features, suspend, or terminate your account, and may cooperate with lawful requests from regulators or platforms.
8.3 You may stop using the Platform at any time and request deletion of relevant data or revocation of third-party authorizations in accordance with the Privacy Policy.
9. Disclaimers and Limitation of Liability
9.1 The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we are not liable for indirect, incidental, or punitive losses caused by third-party platform failures, network conditions, your equipment, or your operational errors.
9.2 We do not assume advance-payment or joint liability for complaints, content takedowns, account restrictions, or legal liabilities arising from content you publish, but will provide necessary technical logs to assist within a reasonable scope (except where cooperation is required by law).
9.3 If liability must be assumed under mandatory law, our aggregate liability is capped at the fees you actually paid to us for the Service in dispute during the preceding 12 months; if the Service was provided free of charge, liability is capped at RMB 100 (unless otherwise provided by mandatory law).
10. Governing Law and Dispute Resolution
10.1 The formation, validity, interpretation, and dispute resolution of these Terms are governed by the laws of the People's Republic of China (excluding its conflict-of-laws rules).
10.2 Disputes arising from these Terms shall first be resolved through friendly negotiation between the parties. If negotiation fails, the dispute shall be submitted to the people's court with jurisdiction at the domicile of the Platform's operator.
11. Updates to These Terms
We may revise these Terms of Service from time to time. When updated, the effective date will be published on this page. If a change materially affects your rights or obligations, we will notify you via in-app notices or other reasonable means. Your continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
